Terms and Conditions.
Last updated: 29 September 2026
1. About these Terms
1.1 These Terms and Conditions ("Terms") govern your use of the website, applications and services operated by VIN DE GARDE PTE. LTD. (UEN 202616134D) ("Garde", "we", "us" or "our"), including our wine storage services and the Garde marketplace (together, the "Services").
1.2 Garde holds a liquor licence issued under the Liquor Control (Supply and Consumption) Act 2015 (Licence No. L/LL/2026/006817, Class 3A). Supply of liquor through the Services is made under and subject to the conditions of that licence.
1.3 These Terms incorporate our Privacy Policy, Fee Schedule and Service Rules as published on our website from time to time (together, the "Agreement"). If there is a conflict, these Terms prevail unless the relevant document expressly states otherwise.
1.4 By creating an account, depositing wine with us, listing wine for sale or placing a bid or order, you agree to the Agreement. If you do not agree, you must not use the Services.
2. Definitions
2.1 In these Terms:
- "Account" means your registered Garde account.
- "Client" means a person holding an Account, and includes a Seller and a Buyer.
- "Wine" means wine and other liquor deposited with or held by Garde on your behalf.
- "Stored Wine" means Wine held by Garde in a Storage Facility on your behalf.
- "Storage Facility" means any premises used by Garde or its appointed service providers to store Wine.
- "Listing" means an offer by a Seller, made through Garde, to sell Stored Wine.
- "Seller" means a Client who creates a Listing; "Buyer" means a Client who buys Wine through the Services.
- "Sale Contract" means the contract for the sale of Wine between a Seller and a Buyer formed under clause 10.
3. Eligibility and accounts
3.1 You must be at least 18 years old to use the Services. We will take reasonable steps to verify your age, and you must not permit any person under 18 to use your Account or receive Wine.
3.2 You must provide accurate and complete information and keep it up to date. You are responsible for all activity on your Account and for keeping your log-in credentials secure.
3.3 We may, before or at any time after opening an Account, ask for information or documents to verify your identity, the source of Wine or funds, or your tax status. We may decline, suspend or close any Account, or refuse any Listing or transaction, where we are not satisfied with the information provided or where we consider it necessary to comply with law or to protect Garde, other Clients or the Services.
3.4 Accounts may be opened by individuals acting in a personal capacity, or by companies and other entities through an authorised representative. A Client acting in the course of a business must tell us so at registration (see clause 9.3).
4. Nature of our role
4.1 In providing storage, Garde acts as custodian (bailee) of your Wine. Title to Stored Wine remains with you at all times. Garde does not acquire title to, and does not buy or resell, Wine deposited by Clients. Garde arranges storage at third-party Storage Facilities and is not itself the operator of any warehouse. Garde’s responsibility for the physical safekeeping of Stored Wine is limited as set out in clauses 5.7 and 14.2.
4.2 In the marketplace, Garde acts solely as the licensed selling agent of the Seller. Garde is not a party to the Sale Contract, which is made directly between Seller and Buyer, and does not act as agent of the Buyer.
4.3 Garde does not provide investment, financial, tax or legal advice. Wine is a consumable good. Any prices, valuations, market data, indices or historical information shown on the Services are indicative only and are not a representation as to value, future price or liquidity. The Services are not an investment scheme, and nothing on the Services is an offer of any investment product.
5. Storage services
5.1 Intake. Wine is accepted for storage only after we have received it, inspected it externally and recorded it in our inventory. We may decline any Wine at our discretion, including where provenance, condition or authenticity cannot be satisfactorily established.
5.2 Inspection and condition reports. Any inspection or condition report is a visual, external examination made in good faith for inventory purposes. It is not a guarantee of authenticity, provenance, fill level, storage history or the condition of the contents. We do not open bottles or cases unless you ask us to (for a fee) or we reasonably consider it necessary.
5.3 Storage conditions. Garde will arrange for Wine to be stored at a Storage Facility whose operator represents that it maintains a temperature- and humidity-controlled environment suitable for wine. Garde does not operate, control or warrant the performance of the Storage Facility or its equipment. We may move Wine between Storage Facilities and may engage third-party warehouse, logistics and security providers.
5.4 Segregation and records. Stored Wine is recorded in our inventory under your Account and identified as yours. We will keep records sufficient to identify your Wine at all times.
5.5 Duty-paid Wine only. Garde accepts only Wine on which all applicable customs and excise duty and import GST have been paid. Garde does not accept Wine held in bond or under any duty or GST suspension scheme. Garde may require evidence of duty and GST payment before accepting any Wine.
5.6 Withdrawal. You may request withdrawal or delivery of your Stored Wine in accordance with the Service Rules, subject to payment of all amounts owing. Delivery of liquor will be made only to a person aged 18 or above and in compliance with applicable liquor laws, including restrictions on delivery hours and locations.
5.7 Insurance and recovery.
(a) Garde does not insure Stored Wine and is not obliged to. Stored Wine is covered only under an all-risks policy arranged by the operator of the Storage Facility with MSIG Insurance (Singapore) Pte. Ltd. for the benefit of storers (the "Facility Policy"). As at the date of these Terms the Facility Policy is limited to S$50,000 for all Wine in each storage unit, shared among every Client whose Wine is in that unit, S$5,000 per bottle, an excess of S$500 per claim, and settlement at cost price rather than market value. It excludes loss caused by change in temperature or humidity, failure of cooling equipment, inherent vice, gradual deterioration, contamination, unexplained disappearance and employee dishonesty, among other things. A current summary is in the Service Rules and may change without notice from the insurer.
(b) You are solely responsible for insuring your Wine for its market value and for any risk not covered by the Facility Policy. On request Garde will provide a statement of your Stored Wine to assist you or your insurer.
(c) If Stored Wine is lost or damaged, Garde will use reasonable efforts to make a claim under the Facility Policy and against the Storage Facility operator on your behalf, and will pass on to you any amount it recovers in respect of your Wine, less the costs of recovery and any amounts you owe Garde. You must provide the information, documents and cooperation required for any claim. Garde may decline to bring proceedings against the operator unless you agree to fund them.
6. Storage fees, lien and unclaimed Wine
6.1 Storage and ancillary fees are set out in the Fee Schedule and are payable in advance or as invoiced.
6.2 If any amount is overdue for more than 30 days, we may suspend Services, withhold release of Wine and charge late interest at 8% per annum. Garde has a lien over Stored Wine for all amounts owing by you to Garde.
6.3 If amounts remain unpaid for more than 90 days after we have given you at least 14 days' written notice at your last known contact details, we may sell sufficient Stored Wine to discharge the amount owing (including reasonable costs of sale), and will account to you for any surplus.
6.4 If your Account is closed, or you cannot be contacted at your registered contact details for 12 months despite reasonable attempts by Garde to reach you, Garde may treat your Wine as unclaimed. Garde may then, after giving at least 30 days’ written notice to your last known contact details, sell the Wine through the marketplace or otherwise on commercially reasonable terms, deduct all fees and costs owing (including storage fees accrued to the date of sale and reasonable costs of sale), and hold the net proceeds for you for 6 years, after which they are forfeited to Garde to the extent permitted by law.
7. Your obligations as depositor
7.1 You represent and warrant, each time you deposit Wine, that:
(a) you are the legal and beneficial owner of the Wine or are authorised by the owner to deal with it;
(b) the Wine is not subject to any charge, lien or third-party claim, save as disclosed to us in writing;
(c) the Wine was lawfully imported into Singapore and all applicable customs and excise duty and import GST have been paid;
(d) to the best of your knowledge, the Wine is genuine and the information you give us about it is accurate; and
(e) the Wine is not derived from, and its deposit or sale does not form part of, any unlawful activity.
7.2 You must tell us promptly if any of these statements ceases to be true.
8. The marketplace - Listings
8.1 Only Stored Wine that has completed intake may be listed. Wine not stored with Garde cannot be sold through the Services.
8.2 By creating a Listing, you appoint Garde as your agent to market and offer the Wine for sale, to accept offers on your behalf at or above your stated price (or as otherwise set by you), to conclude the Sale Contract in your name, to collect the purchase price as your agent, and to transfer the Wine to the Buyer's Account on completion.
8.3 Garde may set reasonable requirements for Listings (including description standards, photographs and minimum prices), may edit Listings for accuracy and consistency, and may decline, suspend or remove any Listing.
8.4 While Wine is listed, you must not withdraw, pledge or deal with it except by cancelling the Listing in accordance with the Service Rules.
8.5 Garde may, but is not obliged to, publish descriptions, tasting notes, scores or market information. Such content is provided for general information only.
8.6 Seller status. Each Listing will show whether the Seller is a private seller or a trade seller, based on the Seller's declaration under clause 9.3. A Seller must not be shown as a private seller if the Seller is selling in the course of a business or is registered, or required to be registered, for GST.
9. Seller representations, tax and business status
9.1 In addition to clause 7, as Seller you represent and warrant that you have good title to the Wine, that the Wine is free of encumbrances, and that the Listing is accurate.
9.2 You are responsible for your own tax position, including any income tax on gains and any GST you may be liable to account for. Garde does not give tax advice.
9.3 You must declare to us, at registration and whenever it changes, whether you are registered (or required to be registered) for GST in Singapore and whether you are selling in the course or furtherance of a business. If you are, you must provide your GST registration number and we will reflect GST on the sale documentation as required by law. Clients who are not GST-registered must not represent that GST is chargeable on their sales.
9.4 The marketplace is designed for Clients disposing of wine from their own collections. Garde may set limits on the volume or frequency of Listings, and may ask for further information, where activity suggests that a Client is trading as a business.
10. The marketplace - Buying
10.1 Buyers may make offers or purchase at a listed price through the Services. An offer is binding once submitted and may be withdrawn only as permitted by the Service Rules.
10.2 A Sale Contract is formed between Seller and Buyer when Garde, as the Seller's agent, confirms acceptance of the Buyer's order or offer. Garde is not the seller of the Wine.
10.3 The Buyer must pay the purchase price, the buyer's fee (if any) and applicable GST on Garde's fees in cleared funds within the time stated in the Service Rules. If payment is not made, Garde may cancel the Sale Contract on the Seller's behalf and charge the Buyer a cancellation fee as set out in the Fee Schedule.
10.4 Title and risk in the Wine pass from Seller to Buyer when Garde has received cleared funds for the full purchase price. At that moment the Wine is transferred into the Buyer's Account and is held by Garde as custodian for the Buyer under clauses 5 to 7, and the Buyer appoints Garde as custodian for that purpose. Storage fees apply from the date of transfer.
10.5 Wine purchased through the marketplace remains in storage with Garde unless and until the Buyer requests withdrawal or delivery under clause 5.6.
10.6 Buyer acknowledgement. The Buyer acknowledges that Garde sells as agent for the Seller and not in its own right, and that, unless a Listing identifies the Seller as a trade seller, the Seller is a private individual who is not selling in the course of a business.
11. Payments and settlement
11.1 Payments are processed through HitPay. You agree to their terms insofar as they apply to you.
11.2 Garde receives purchase monies as agent of the Seller. After completion under clause 10.4 and expiry of any hold period in the Service Rules, Garde will remit the purchase price to the Seller's nominated account, less Garde's commission, fees and any other amounts the Seller owes Garde.
11.3 Garde may withhold or delay settlement where it reasonably suspects fraud, error, a breach of these Terms, a dispute over the Wine, or where required by law or a competent authority.
11.4 Purchase monies received for Sellers are held by Garde on trust for the Sellers entitled to them, in a designated client account separate from Garde’s operating funds, until remitted under clause 11.2. Garde may deduct from those monies only the commission, fees and other amounts the Seller owes Garde.
12. Fees and taxes
12.1 Garde's fees (including storage, handling, seller's commission, buyer's fee and delivery) are set out in the Fee Schedule and may be changed on at least 30 days' notice. Changes do not affect Listings or Sale Contracts already concluded.
12.2 Garde is not currently registered for GST and does not charge GST on its fees. If Garde becomes registered for GST, GST at the prevailing rate will be charged on Garde’s fees from the date of registration, and fees in the Fee Schedule will be stated exclusive of GST.
12.3 The purchase price of Wine is determined by the Seller and is payable to the Seller. Any GST on the purchase price arises only where the Seller is a GST-registered person making a taxable supply, and will be shown on the sale documentation where applicable.
12.4 Any duty, tax or other charge payable on the export of Wine from Singapore, or on its delivery outside Singapore, is payable by the owner of the Wine at the time.
13. Authenticity, condition, disputes and cancellation
13.1 Garde does not guarantee the authenticity, provenance, condition or quality of any Wine. The Seller is responsible for the accuracy of the Listing.
13.2 Condition of contents. Wine is a natural product whose condition changes with age and cannot be assessed without opening the bottle. Wine is sold on the basis of its external condition as recorded at intake. Neither Garde nor, unless the Listing expressly states otherwise, the Seller gives any warranty as to the taste, condition or drinkability of the contents of any bottle, including in relation to cork taint (TCA), oxidation, premature ageing, heat or light damage, refermentation, Brettanomyces or other faults, sediment, variation in fill level, leakage or seepage, or the condition of labels, capsules, cases or packaging.
13.3 Wine sold as is. All Wine, regardless of age, is sold as is and at the Buyer’s risk as to the condition of its contents. Subject to clauses 13.4 and 13.5, and to the extent permitted by law, no claim may be made against Garde or the Seller in respect of any matter listed in clause 13.2.
13.4 A Buyer who believes, on reasonable grounds, that Wine is materially not as described (subject to clauses 13.2 and 13.3) or is not genuine must notify Garde within 3 working days of transfer to the Buyer's Account, with supporting evidence. For defects that can only be discovered on withdrawal, the Buyer must notify Garde within 5 working days of withdrawal.
13.5 Garde may, at its discretion, help the Seller and Buyer resolve the matter, including by obtaining an independent opinion. Garde may reverse the transaction where the Seller does not dispute the claim, or where an independent expert reasonably concludes that the Wine is not genuine. The Seller authorises Garde to deduct any refund from settlement monies or to recover it from the Seller.
13.6 Where Garde reasonably suspects that Wine is counterfeit, stolen or otherwise unlawfully obtained, Garde may quarantine the Wine, suspend related Accounts, and co-operate with and provide information to the relevant authorities.
13.7 Each Sale Contract is a sale between Clients of wine already held in storage. There is therefore no general right to cancel a concluded Sale Contract, except as set out in these Terms or as required by law.
14. Liability
14.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability which cannot be excluded or limited by law.
14.2 Subject to clause 14.1, Garde’s sole liability for loss of, damage to or deterioration of Stored Wine, however caused, is to pass on to you the net amount, if any, that Garde recovers in respect of that Wine under clause 5.7(c). Garde has no further liability for Stored Wine, including for the acts or omissions of any Storage Facility operator, logistics provider or insurer, for the failure of any temperature or humidity control, or for inherent vice, natural deterioration, cork failure, ullage or latent defects. You acknowledge that you have chosen to store Wine with Garde on this basis and have had the opportunity to arrange your own insurance.
14.3 Subject to clause 14.1, Garde is not liable for any loss of profit, loss of opportunity, loss of anticipated market value, or indirect or consequential loss.
14.4 Subject to clauses 14.1 and 14.2, Garde's total aggregate liability in any 12-month period for all other claims arising out of or in connection with the Services is limited to the total fees paid by you to Garde in that period.
14.5 Garde is not liable for the acts, omissions, representations or defaults of any Seller, Buyer, Storage Facility operator or other third party.
15. Indemnity
15.1 You agree to indemnify Garde against losses, costs (including reasonable legal costs), fines and liabilities arising from any breach by you of the Agreement, any inaccuracy in your representations and warranties, or any claim by a third party relating to Wine you deposited or listed.
16. Compliance
16.1 You must use the Services only for lawful purposes and in compliance with all applicable laws, including laws on liquor, customs, tax, anti-money laundering and sanctions.
16.2 Garde may conduct identity and other checks, keep records, and report to or co-operate with competent authorities as required or permitted by law. Garde may be prohibited by law from telling you that it has done so.
16.3 Garde may refuse, suspend or reverse any transaction, and may suspend any Account, where it reasonably considers this necessary to comply with law, its licence conditions or the directions of a competent authority.
17. Suspension and termination
17.1 You may close your Account on 14 days' notice after withdrawing or selling all Stored Wine and paying all amounts owing.
17.2 Garde may suspend or terminate your Account with immediate effect if you materially breach the Agreement, if required by law, or if Garde ceases to provide the Services, and otherwise on 30 days' notice.
17.3 On termination, you must arrange for withdrawal of your Stored Wine within 14 days, failing which clause 6 applies. Clauses which by their nature survive termination will do so.
18. Intellectual property and content
18.1 All content on the Services, other than content you provide, belongs to Garde or its licensors. You may use it only for your personal use of the Services.
18.2 You grant Garde a non-exclusive, royalty-free licence to use photographs, descriptions and other content you provide for the purposes of operating and promoting the Services.
19. Changes to these Terms
19.1 We may amend these Terms by posting the amended version on our website. Material changes will be notified to you at least 30 days before they take effect. Your continued use of the Services after that date constitutes acceptance. Changes do not apply to Sale Contracts concluded before they take effect.
19.2 We may update the Fee Schedule and the Service Rules by publishing the revised version on our website or in the app. Changes to fees take effect as set out in clause 12.1. Changes to the Service Rules that materially reduce your rights take effect 14 days after publication; other changes take effect on publication. Each version will show its effective date, and the version in force at the time of a deposit, Listing or Sale Contract applies to it.
20. General
20.1 Notices. We may give notices to the email address registered on your Account. Notices to us must be sent to hello@garde.sg.
20.2 Assignment. You may not assign your rights without our consent. We may assign or novate the Agreement to an affiliate or a successor to our business on notice to you, provided your rights are not materially prejudiced.
20.3 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
20.4 Severability and waiver. If any provision is held invalid, the remainder continues in effect. A failure to enforce a right is not a waiver.

20.6 Entire agreement. The Agreement is the entire agreement between you and Garde regarding the Services.
